RV Park Apps Terms and Conditions

App and SaaS Customer Agreement Website: RVParkApps.com Effective date: October 1, 2026 Draft for legal review.

These Terms and Conditions (Terms) govern the business relationship between RV Park Apps, LLC, doing business as RV Park Apps (Company, we, us, or our), and the park, campground, resort, or other business accepting these Terms (Customer or you). The services include our hosted platform, mobile-first guest portals, administrative tools, enabled modules, and any separately ordered branded mobile application services (Services).

By affirmatively accepting these Terms during registration or purchase, or signing an order form incorporating them, you agree to be bound. The person accepting must be at least 18 years old and authorized to bind Customer. Do not accept or use administrative Services if you lack that authority. These Terms address the park’s SaaS relationship; individual guest use is governed by the RV Park Apps End User License Agreement (EULA).

1 Agreement scope and priority

The selected subscription plan, checkout disclosures, and any mutually accepted order form specify the Services, fees, limits, billing interval, and additional commitments. A signed customer agreement controls an express conflict with these Terms. An order form controls specifically negotiated commercial details; these Terms govern remaining subjects. Customer purchase-order boilerplate does not amend this Agreement unless we expressly accept it in writing.

The EULA governs the software license and end-user conduct. The Privacy Policy at https://rvparkapps.com/privacy/ explains our handling of personal information. An executed data processing agreement controls conflicting provisions concerning processing performed on Customer’s behalf.

2 Access and permitted use

We grant Customer a limited, nonexclusive, nontransferable right to access the Services during the applicable service period for its authorized properties and community operations, subject to the selected plan. Customer may invite authorized staff and permit guests, residents, and tenants to use its guest portal; these ordinary uses are permitted and are not prohibited sublicensing.

Customer may customize supported branding, primary and secondary colors, sections, documents, notices, events, and enabled modules. Advertising or business listings are permitted only where the relevant functionality is enabled and the content complies with law and these Terms. The subscription does not transfer software ownership or include source code, custom development, or an unrestricted right to resell the platform.

3 Customer accounts and responsibilities

Customer must provide accurate organization, ownership, contact, and billing information; maintain authorized administrator access; and keep credentials secure. Customer is responsible for assigning roles, removing departed staff, selecting appropriate content visibility, and activity it authorizes. Notify us promptly of suspected unauthorized access.

Customer is responsible for its property operations, bookings, leases, guest relations, emergency procedures, rules, listings, and content accuracy. We provide software and do not operate Customer’s property or guarantee the quality or availability of its accommodations or services. Customer must review content before publication and keep important information current.

Customer must obtain rights and permissions for uploaded content and personal information, comply with applicable accessibility and consumer obligations for its own offerings, and provide required notices to its users. Neither party is excused from its own legal obligations by the other party’s responsibilities.

4 Free setup drafts and publication

Customer may create an account, complete setup, save content, and use authorized previews without purchasing a subscription. Completing the wizard does not authorize payment, publish the guest portal, or request a mobile store submission.

When Customer elects to publish, an authorized purchaser selects a paid plan and accepts the disclosed charges. Public access is enabled after we verify the applicable entitlement and Customer confirms publication readiness. Draft content remains private unless Customer expressly publishes or shares it through an authorized preview feature.

Customer must replace placeholders and verify its logo, contact details, rules, operating hours, documents, and other launch content. Publishing is Customer’s approval of the selected content. Future edits may require a separate publish action.

5 Plans modules and service limits

Features depend on the selected plan, enabled modules, and any usage limits disclosed at purchase. Optional features may include SMS, AI assistance, additional storage, advanced analytics, booking integrations, or dedicated mobile distribution. Enabling a module does not authorize an undisclosed charge; paid upgrades and usage charges require the applicable disclosure and authorization.

We may enforce disclosed storage, messaging, AI, and other limits. Reaching a limit may prevent additional uploads or usage until Customer reduces usage or upgrades. We will not delete existing content merely because a storage limit is reached. Services are shared infrastructure, and Customer must not use them in a way that materially disrupts other customers.

6 Fees payment and taxes

Customer agrees to the fees and billing interval shown at checkout or in its accepted order form. Subscription charges begin only after authorized purchase. A subscription may renew automatically as expressly disclosed and accepted. Recurring billing authorization is separate from free account creation.

Customer authorizes the payment processor to charge its selected payment method for agreed subscription fees and separately authorized extras. Maintain accurate billing details. Customer pays applicable transaction taxes except taxes on Company’s net income. Any setup, migration, custom work, store submission, or usage fee must be separately disclosed before authorization.

A failed checkout does not publish the park or remove saved drafts. If payment succeeds but publication fails, we will address the issue without requiring duplicate payment for the same entitlement. Report suspected billing errors promptly; nothing here waives lawful dispute or payment-provider rights.

7 Renewal cancellation and refunds

Monthly or annual subscriptions renew for the selected interval unless canceled before the renewal charge, subject to the accepted plan and applicable law. Customer may cancel future renewal through the account billing controls. If those controls are unavailable, contact support@rvparkapps.com; we will provide a workable cancellation process and confirmation.

Unless otherwise agreed or required by law, cancellation takes effect at the end of the paid subscription period and access continues through that date. There is no general requirement to give 30 days’ advance notice for an ordinary self-service plan. A separately negotiated fixed-term contract may specify different terms that are clearly disclosed before acceptance.

Fees for a paid period are ordinarily nonrefundable once service has begun, except as required by law, expressly promised at purchase, due for an erroneous or duplicate charge, or provided under Section 14 for Company discontinuation or uncured material breach. We will not apply an undisclosed early termination fee.

Price increases apply prospectively at renewal after at least 30 days’ notice, or longer if required by law. Customer may cancel before the increased renewal price takes effect. Deleting an app, unpublishing a portal, or ceasing use does not itself cancel a subscription.

8 Overdue payments and restricted access

We may retry failed payments and notify the billing contact. Any grace period is stated in the plan or billing notices. After an applicable grace period, we may restrict public guest access and paid features until payment is restored. Authorized management access remains available for billing, recovery, preview, and retained content, except where a separate security or legal suspension is necessary.

Ending a subscription does not automatically delete Customer’s content or historical records. Restoring an eligible plan may restore publication after entitlement and security checks. Customer remains responsible for undisputed amounts properly incurred before cancellation or restriction.

9 Mobile applications and store submission

Dedicated branded iOS or Android services are included only where expressly ordered. A store build or submission begins only after an authorized manager manually requests it, supplies required assets and metadata, and satisfies the applicable plan and readiness requirements. Signup, wizard completion, payment, and web publication do not automatically request submission.

The order must identify who owns the developer accounts, pays store fees, submits the application, and maintains certificates and listings. Customer must provide required permissions, accurate descriptions, icons, support information, privacy disclosures, and evidence of content rights. We will not assume that submissions can be made under our account on Customer’s behalf.

Apple, Google, and other distributors control review, approval, removal, and timing. Approval or a specific release date is not guaranteed. Rejection may require additional content, functionality, or distribution changes. Work outside the agreed submission scope requires a separate estimate and authorization. Customer’s web portal can remain available independently of store approval while its subscription is eligible.

10 Customer content and intellectual property

Company and its licensors retain ownership of the platform, software, reusable components, designs, documentation, and Company branding. Customer retains rights in its park name, logo, trademarks, uploaded documents, images, and other content. Suggestions may inform platform improvements without transferring Customer’s underlying content or confidential information to Company.

Customer grants Company a limited license to host, process, reproduce, format, and display Customer content to provide, secure, and support the Services and follow Customer’s authorized instructions. Service providers may process it for those purposes. The license continues only as necessary for service delivery, permitted backups, and legal retention.

Company may use Customer’s branding in Customer’s own portal and specifically authorized store submissions. Public use of Customer’s name or logo as a testimonial, case study, or promotional endorsement requires Customer’s prior consent. No implied endorsement is created.

11 Acceptable use

Customer must not circumvent access controls, billing, or limits; access another tenant’s data; upload malware; distribute unlawful or infringing content; harvest private data; send unlawful or unsolicited messages; or materially interfere with service. Reverse engineering and source-code extraction are prohibited except where applicable law expressly permits them.

Customer may not remove Company proprietary notices or resell the platform without written authorization. These restrictions do not prohibit authorized content exports, permitted guest access, or lawful competition using independently developed software. Customer has no obligation under these Terms to notify us before building or purchasing a competing product.

12 Parkie AI speech and messaging

Parkie may search permitted content, answer questions, transcribe speech, and draft updates. Output may be inaccurate or incomplete. Customer must review generated content before publishing or sending it and verify consequential facts, dates, rules, and booking information. Parkie is not professional advice, an emergency responder, or a guarantee of an operational outcome.

Speech and AI providers may process submitted information as disclosed in our Privacy Policy and any data processing agreement. Customer must obtain required permissions and avoid unnecessary sensitive information. These Terms do not authorize training general-purpose models on private Customer content without a separately disclosed lawful basis and applicable permissions.

Customer is responsible for lawful recipient selection, required messaging consent, promotional disclosures, and honoring opt-outs. SMS message frequency varies; carrier rates and disclosed platform usage charges may apply. Marketing consent must be separate where required and is not a condition of purchase. Messages and notifications may be delayed or undelivered. Do not rely on the Services for emergency alerts or emergency dispatch.

13 Privacy security and confidentiality

Each party must comply with privacy laws applicable to its own activities. Where Company processes personal information on Customer’s instructions, the applicable data processing agreement should identify roles, instructions, subprocessors, security measures, incident notice, and assistance obligations. Customer’s rights to personal information remain subject to the individuals’ rights and applicable law; personal information is not unrestricted business property.

Company will maintain reasonable administrative, technical, and organizational safeguards appropriate to the Services. Authorized personnel may use logged, controlled account access or impersonation for support, security, and administration. Access is limited to legitimate operational needs. A contract clause does not replace actual access controls.

Each party will protect the other party’s nonpublic business information with reasonable care and use it only to perform this Agreement. Disclosure is permitted to personnel and providers with appropriate confidentiality obligations, or as legally required. Information independently developed, lawfully received, or publicly available without breach is excluded.

We may use appropriately aggregated or de-identified usage information for analytics and improvement consistent with law and the Privacy Policy. We will not provide one Park with another Park’s private data for marketing. Necessary processing by authorized service providers and lawful disclosures remain permitted.

14 Retention export suspension and termination

We retain saved Customer data when Customer abandons setup, declines payment, cancels, or experiences payment failure. Retention is subject to lawful deletion requests and legal obligations; it is not an unconditional promise of permanent storage. An account deletion request is a separate action from subscription cancellation.

Either party may terminate for a material breach not cured within 10 days after written notice, or a longer period if required by law. We may immediately restrict access when reasonably necessary to address unlawful use, an active security threat, or serious harm. We will provide notice and an opportunity to resolve the issue where practical.

For permanent service discontinuation, we will ordinarily provide at least 30 days’ notice and a reasonable opportunity to export available Customer data unless law or urgent security conditions prevent it. If we discontinue paid Services without Customer breach, or Customer terminates for our uncured material breach, we will refund prepaid subscription fees attributable to the unused terminated service period.

When access ends, Customer must stop using licensed functionality that is no longer authorized. Retention and any remaining limited management access follow the disclosed policies. Accrued payment obligations and provisions concerning ownership, confidentiality, liability, and dispute resolution survive as appropriate.

15 Support updates and integrations

We provide reasonable technical support through support@rvparkapps.com during 8:00 a.m. to 5:00 p.m., Monday through Friday, Eastern Standard Time (EST). Any guaranteed response time or service level must be specified in the selected plan or signed agreement.

We may provide updates, maintenance, and security fixes. We may change features, but will give reasonable advance notice of material reductions to paid Services where practical and provide any remedies required by law or the applicable agreement. Routine updates do not imply delivery of every requested feature.

Third-party booking, payment, weather, mapping, messaging, AI, and store services are subject to their providers’ terms and availability. We do not guarantee their continuity or compatibility forever. Custom integrations, content entry, data migration, consulting, and changes caused by external providers are included only if expressly agreed; additional billable work requires prior authorization.

16 Warranties and disclaimers

Each party represents that it has authority to enter this Agreement. Company represents that it has the rights necessary to provide the licensed Services. Customer represents that it has necessary rights in submitted content and authority to manage the relevant properties.

EXCEPT FOR EXPRESS COMMITMENTS IN THIS AGREEMENT OR A SIGNED ORDER, THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE TO THE EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT GUARANTEE ERROR-FREE OR UNINTERRUPTED SERVICE, PARK CONTENT ACCURACY, AI ACCURACY, MESSAGE DELIVERY, OR STORE APPROVAL. NONWAIVABLE STATUTORY WARRANTIES AND RIGHTS REMAIN UNAFFECTED.

17 Third party claims

Customer will defend and indemnify Company against third-party claims arising from Customer’s unlawful content or messaging, infringement by Customer-provided materials, or material misuse of the Services. This does not cover claims caused by Company’s breach, negligence, or misconduct.

Company will defend and indemnify Customer against third-party claims that Company’s proprietary platform, used as authorized, infringes a US copyright or trade secret. This does not cover Customer content, unauthorized modifications, or combinations causing the claim. Company may obtain continued rights, modify the affected functionality, or terminate it and refund prepaid fees for the unused affected period if no reasonable alternative is available.

The party seeking indemnity must promptly notify the other, provide reasonable cooperation, and permit control of the defense with qualified counsel. No settlement may admit the protected party’s fault or impose nonmonetary duties on it without its written consent. These obligations remain subject to Section 18 unless a signed agreement expressly provides otherwise.

18 Liability limits

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR GOODWILL ARISING FROM THIS AGREEMENT.

COMPANY’S TOTAL AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT, INCLUDING ITS INDEMNITY OBLIGATIONS, WILL NOT EXCEED THE GREATER OF US $100 OR THE FEES CUSTOMER PAID COMPANY FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, UNLESS A SIGNED AGREEMENT SPECIFIES OTHERWISE.

No limitation excludes fraud, willful misconduct, or liability that cannot legally be limited. Mandatory consumer rights remain unaffected. Customer’s obligation to pay properly incurred fees is not excused by these limitations.

19 Law notices and general provisions

This Agreement is governed by the laws of Texas, United States, excluding conflict-of-law rules, subject to mandatory applicable law. Disputes will be heard in competent courts located in Travis County, Texas, United States, except where nonwaivable law permits or requires otherwise. No mandatory arbitration or shortened claim period is imposed by this Agreement.

Routine and contractual notices may be sent to the designated account or Company contact email. Legal notices must identify their purpose. A message is effective when delivery is reasonably confirmed and it has not been returned as undeliverable; mandatory notice requirements and methods in a signed agreement control.

Customer may transfer a park account in a legitimate ownership change with Company’s prior written approval, not unreasonably withheld, and verified authorization. Either party may assign this Agreement in a merger or sale of substantially all relevant assets if the successor assumes its obligations. Other assignments require the other party’s consent.

Neither party is liable for delay caused by events beyond its reasonable control, but payment for Services already provided remains due. The affected party will notify the other and take reasonable mitigation steps. Applicable cancellation, refund, and statutory rights remain in force.

We may update these Terms prospectively with notice of material changes and any renewed acceptance required by law. Changes do not retroactively remove accrued rights or amend a signed fixed-term agreement contrary to its terms. If a provision is unenforceable, the remaining provisions continue. Failure to enforce is not a waiver. Neither party’s ordinary performance creates a partnership, employment, or agency relationship.
